Creative Bank NDA

1. You warrant and undertake to us that:

a) you are fully entitled to give the Contribution to us;

b) nothing in the Contribution will infringe the copyright or any other right of any person, breach any contract or duty of confidence, constitute a contempt of court, be defamatory or be calculated to bring any broadcaster into disrepute; and 

c) all facts expressed by you in the Contribution are, to the best of your knowledge and belief, true and insofar as the Contribution contains any opinions, these opinions are your own and are genuinely and truly held by you. 

d) grant to us all consents under the Relevant Legislation (as defined below) necessary to enable us to make the fullest use of the Contribution (or any part of it) and Programme throughout the world in perpetuity by any and all means in any and all media, whether now known or hereafter developed or discovered, without liability  or acknowledgement to you;

e) the right to edit, copy, add to, take from, adapt or translate the Contribution as we see fit and, in respect of the Contribution, you irrevocably waive the benefits of and agree not to assert any provision of law known as "moral rights" or any similar laws of any jurisdiction.

     2. Confidentiality

a) In this agreement “Confidential Information” includes: all information relating to the programmes, programme ideas, television formats, development work, trade secrets, operations, processes, plans, intentions, know-how, commissioning opportunities, transactions, affairs and/or business of the Company and/or its customers, clients, suppliers, sister companies, holding companies and/or subsidiaries; andthe terms and subject matter of this Agreement.

b) You agree that you will both during this agreement and afterwards keep all Confidential Information strictly confidential and not disclose any Confidential Information to a third party and use Confidential Information only in connection with the proper performance of your services under this Agreement.

c) Condition 2 b) shall not apply to any Confidential Information to the extent that it: comes within the public domain other than through breach of Condition 2 b);is required or requested to be divulged by any court, tribunal, or governmental authority with competent jurisdiction; or is disclosed on a confidential basis for the purposes of obtaining professional advice.

d) This condition shall continue in force after and despite the expiry or termination of this agreement, whatever the reason for termination.

     3. Governing Law

This contract shall be governed by and construed in accordance with Northern Irish Law and the parties hereby submit for all purposes in connection with this contract to the exclusive jurisdiction of the Northern Irish Courts.
